MusIQ Referral Partner Agreement

This MusIQ Referral Partner Agreement (the “Agreement”) is between you and Block Reign, Inc. (“Block Reign,” “we,” or “us”), acting as Service Agent for the MusIQ Network. It applies when you apply to, and are accepted into, the MusIQ Referral Partner program (the “Program”). By submitting an application you agree to this Agreement.

1. Relationship of the Parties

You are an independent contractor. Nothing in this Agreement makes you an employee, agent, partner, joint venturer, or franchisee of Block Reign, the MusIQ Forward Foundation, or MusIQ Network. You decide how, when, and where you promote, you pay your own expenses, and you may not make commitments or statements on our behalf beyond what this Agreement allows. You will not receive employee benefits, and no taxes will be withheld from your commissions except where the law requires.

2. Application and Approval

Participation is by application. We may approve or decline any application at our discretion, may request more information, and may require you to complete Stripe Connect onboarding (including identity and tax verification) before any payout. You must be at least 18 and legally able to receive payments in your country. Approval does not guarantee that you will earn any commission.

3. Referral Links and Attribution

Once approved, you will receive a unique referral link and code. When someone visits through your link, a cookie records your code for thirty (30) days. A sale is credited to you only if the purchase is completed while that cookie is active, or if the buyer enters your code at checkout, and only if no other attribution rule takes priority. Our records of attribution are final, absent manifest error.

4. Commission Structure

Commissions are paid on Qualifying Sales, meaning completed, paid purchases of MusIQ Node Software Licenses and MusIQ Membership payments that are correctly attributed to you and are not later refunded, charged back, or found to be fraudulent.

• Tier 1 — Direct referrals: 20% of the net amount paid for each Qualifying Sale attributed to your own link or code.

• Tier 2 — Partner override: 10% of the net amount paid for each Qualifying Sale attributed to a Referral Partner whom you recruited into the Program and who remains in good standing.

There are no further tiers. Commissions are calculated on the amount actually paid, excluding taxes, fees, discounts, and refunded amounts. For MusIQ Memberships, commission applies to each monthly payment received while the subscription remains active, unless we announce a different rule with at least thirty (30) days’ notice. Commissions are paid only on product sales. No commission, bonus, or other payment is earned for recruiting partners as such.

5. Commission Status, Payouts, and Reversals

Each commission moves through three stages:

• PENDING — recorded when the sale completes, while the refund window and fraud review are open;

• APPROVED — confirmed as a Qualifying Sale and eligible for payout;

• PAID — transferred to your connected Stripe account.

Payouts are made through Stripe Connect on our regular payout schedule once your approved, unpaid balance is at least $50 USD. Balances below the minimum carry forward. You are responsible for keeping your Stripe account in good standing; Stripe’s own terms govern its services.

If a sale is refunded, charged back, cancelled, or found to be fraudulent or improperly attributed, the related Tier 1 and Tier 2 commissions are reversed. If those commissions were already paid, we may deduct the amount from future commissions or ask you to repay it.

6. Taxes

You are responsible for all taxes on your commissions. If you are a U.S. person, you must provide a valid Form W-9 before receiving payouts, and we or our payment processor may issue a Form 1099 where reporting thresholds are met. Partners outside the United States must provide the tax documentation we or Stripe request, such as a Form W-8. We may withhold payouts until required tax information is provided.

7. How You May Describe MusIQ

MusIQ Node Software Licenses are software licenses for operating network infrastructure and taking part in governance. LyrIQ (LYRIQ) is a participation reward that is earned, never sold, and not redeemable for fiat. You must describe them accurately and only in those terms, and point people to the official Node License Terms, Purchaser Acknowledgments, and Risk Disclosures.

8. Prohibited Conduct

You must not:

• Make income claims, including statements about what you or anyone else has earned or could earn from the Program, a node, or LYRIQ;

• Describe a MusIQ Node or LYRIQ as an investment, or use words such as returns, ROI, yield, passive income, profit, appreciation, “early positions,” or price predictions;

• Suggest that LYRIQ can be bought, sold, traded, or exchanged for money, or that it has or will have a market value;

• Send unsolicited email, text messages, or direct messages, or otherwise spam, in violation of CAN-SPAM, the TCPA, or similar laws;

• Bid on “MusIQ,” “MusIQ Network,” “MusIQ Node,” “LyrIQ,” or similar terms, or misspellings of them, in paid search or social advertising, or use them in domain names or account handles, without our written permission;

• Refer yourself, members of your household, or accounts you control, or use any scheme to earn commission on your own purchases;

• Offer cash back, rebates, or other incentives that we have not approved;

• Impersonate MusIQ Network, the Foundation, or Block Reign, or create materials that look official without approval;

• Promote the Program to anyone in a sanctioned or restricted jurisdiction.

9. Endorsement Disclosures

You must follow the U.S. Federal Trade Commission’s Guides Concerning the Use of Endorsements and Testimonials in Advertising, and any similar rules where you promote. Wherever you share a referral link or recommend MusIQ, you must clearly and conspicuously disclose that you may earn a commission, close to the recommendation, in plain language such as “I earn a commission if you buy through my link.” Hashtags alone or disclosures hidden behind a “more” link are not enough.

10. Marketing Materials and Brand Use

We grant you a limited, revocable, non-exclusive license to use the MusIQ names and logos solely in the approved materials we provide, and only while this Agreement is in effect. We may require you to change or remove any content that refers to MusIQ.

11. Term and Termination

Either party may end this Agreement at any time by notice. We may suspend or terminate your participation immediately if you breach Sections 7, 8, or 9, or if we suspect fraud. On termination you must stop using your referral link and our brand. Commissions that were APPROVED before termination for a reason other than breach will be paid on the normal schedule; PENDING commissions and any commissions related to a breach are forfeited.

12. Changes to the Program

We may change commission rates, payout rules, or the Program with at least thirty (30) days’ notice by email or in your partner dashboard. Changes do not reduce commissions already APPROVED. If you do not agree to a change, your remedy is to end this Agreement.

13. Confidentiality and Data

Information we share about buyers and other partners is confidential, may be used only to take part in the Program, and must be handled in line with our Privacy Policy and applicable privacy law.

14. Indemnity and Limitation of Liability

You will indemnify Block Reign, the Foundation, and MusIQ Network against claims arising from your promotional activity or breach of this Agreement. Our total liability under this Agreement will not exceed the commissions paid to you in the six (6) months before the claim, and we are not liable for indirect or consequential damages.

15. Governing Law

[Counsel review: confirm governing law and contracting entity.] This Agreement is governed by the laws of the State of Wyoming, without regard to conflict-of-law rules. Disputes will first go to good-faith negotiation for thirty (30) days and then to binding individual arbitration.

16. Entire Agreement

This Agreement, together with the MusIQ Network Terms of Use and Privacy Policy, is the entire agreement between you and us about the Program. Questions can be sent to info@musiqnetwork.info.
