MusIQ Node Software License Terms & Conditions

These MusIQ Node Software License Terms & Conditions (the “Node Terms”) apply when you buy a MusIQ Node Software License (a “License”) through the MusIQ Network website or application. Please read them carefully. Clicking to accept at checkout, or completing a purchase, means you agree to them.

In these Node Terms, “you” means the person or entity buying the License. The “Foundation” means the MusIQ Forward Foundation, a Wyoming-registered foundation that stewards the MusIQ Network under its charter. “Block Reign” means Block Reign, Inc., which acts as Service Agent to the MusIQ Network and sells Licenses on the Foundation’s behalf. “Node Software” means the MusIQ node client software and its updates. “LYRIQ” means LyrIQ, the MusIQ Network’s participation reward.

1. What You Are Buying

A License is a limited, non-exclusive, revocable right to install and run one instance of the Node Software and to take part in MusIQ Network governance as a node operator, on the terms below.

MusIQ Network is a set of smart contracts deployed on the Gnodi EVM Layer 1 blockchain (chain ID 46634). It is not its own blockchain. A MusIQ Node validates off-chain participation events, such as listening, event attendance and community activity, and attests the verified results on-chain.

A License is a software license and nothing more. It is not a share, unit, membership interest, note, or other security, and it is not an interest in the Foundation, Block Reign, or any other entity.

2. License Restrictions and Transfer

You may not copy, sell, sublicense, rent, reverse engineer, or modify the Node Software except as the Foundation expressly permits in writing or as applicable open-source licenses allow for specific components.

Your License is personal to you and may not be transferred, assigned, pledged, or resold unless the Foundation has published a transfer process and you complete it. Any attempted transfer outside that process is void, and the License may be suspended.

3. Price and Payment

The price of one License is $1,000 USD unless a different price is shown at checkout. Prices exclude any applicable sales, use, or similar taxes, which will be added where required.

Payment is processed by Stripe. Your purchase is complete only when payment has been received and your order is confirmed in your account. We may refuse or cancel an order before confirmation, for example because of a pricing error, suspected fraud, or a jurisdictional restriction, and will refund any amount collected for a cancelled order.

4. No Investment, Equity, or Expectation of Profit

You are buying a License in order to operate software and take part in network governance. You are not making an investment.

• A License gives you no equity, ownership, dividend, revenue share, or profit right in the Foundation, Block Reign, MusIQ Network, or any related project.

• No one has promised you any return, income, or appreciation, and no one is authorized to do so.

• LYRIQ is a utility participation reward. It is not sold, it is not redeemable for fiat currency, and it is not intended to have value outside the MusIQ ecosystem.

• Any LYRIQ you receive comes from your own operation of a node under protocol rules, not from the managerial efforts of others.

5. Operating Your Node

You are responsible for running your node. That includes providing and maintaining infrastructure that meets the published baseline requirements, which currently are:

• A server running a Linux-based operating system;

• At least 1 GB of memory;

• At least 20 GB of storage;

• A fast, reliable, always-on internet connection.

These requirements may increase as validation workloads and network activity change. You may self-host, use a cloud provider, or use an approved third-party hosting service. If you use a hosting service, your agreement with that provider is separate, and neither the Foundation nor Block Reign is responsible for its performance or fees.

You also agree to keep the Node Software updated to supported versions, to operate it honestly, and not to falsify, replay, or manipulate participation data or attestations.

6. Proof of Contribution Rewards

Node operators may be eligible to receive LYRIQ from the Proof of Contribution pool, which the protocol sets at 30% of each year’s emissions. Rewards are calculated by the protocol from operator points relative to all eligible operators, and may depend on uptime, correct validation, and other protocol rules.

Rewards are variable and may be zero. They depend on, among other things, the number of active operators, your node’s uptime and performance, total network activity, and the declining emission schedule, under which annual issuance falls over time. Protocol parameters may change through governance. Nodes that are offline, out of date, or found to have submitted invalid attestations may receive reduced or no rewards.

7. Governance Participation

Holding an active License lets you take part in governance as a node operator, including voting on ratification of the Foundation charter and on network parameters. Governance rights are procedural only. They do not give you ownership, equity, or financial rights, and they do not let you direct the Foundation’s or Block Reign’s business. Voting procedures, quorums, and eligibility are set by the charter and may change through governance.

8. License Supply and Phases

The Foundation has designated a maximum of 50,000 MusIQ Node Software Licenses. Up to 10,000 are allocated for early network development, including infrastructure partners, ecosystem contributors, and founding participants. The remainder may be made available over time in phases set by the Foundation. Prices, availability, and terms may differ between phases.

If you buy before the Node Software and mainnet node operations are live, you understand that you cannot yet run a node and that rewards begin, if at all, only after mainnet node launch. We cannot promise a launch date.

9. Refunds

[Counsel review: placeholder policy.] You may request a full refund within fourteen (14) days of purchase if you have not yet activated your License or connected a node. After activation, or after fourteen days, Licenses are non-refundable except where required by law. If mainnet node operations have not launched within twelve (12) months of your purchase date, you may request a full refund of the purchase price until launch occurs. To request a refund, email info@musiqnetwork.info from the address on your account.

Refunds are returned to the original payment method. A refunded License is cancelled, and any LYRIQ received under it may be cancelled or reclaimed where technically possible. Initiating a chargeback instead of using this process may lead to suspension of your account.

10. Eligibility, Identity Verification, and Restricted Jurisdictions

You must be at least 18 and able to form a binding contract. You may not buy or operate a License if you are located in, or a resident or national of, a country or region subject to comprehensive U.S. sanctions, or if you are named on a U.S. or other applicable sanctions list. The Foundation may restrict Licenses in other jurisdictions where offering them would be unlawful or require a registration it has not obtained.

We may ask you to verify your identity (KYC) before activating your License, distributing rewards, or permitting a transfer, and may suspend a License if verification is refused or fails.

11. Taxes

You are responsible for all taxes that result from buying a License, operating a node, or receiving LYRIQ, including any income tax on rewards at the time you receive them. We do not give tax advice, and you should consult your own adviser. We may collect tax information from you where the law requires it.

12. Suspension and Termination

We may suspend or terminate a License if you materially breach these Node Terms, submit fraudulent attestations, fail required verification, or if continuing would break the law. If a License is terminated for breach, no refund is due. You may stop operating your node at any time, but stopping does not by itself entitle you to a refund.

13. Software Provided As Is

THE NODE SOFTWARE AND ALL RELATED SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, THE FOUNDATION AND BLOCK REIGN DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND DO NOT WARRANT THAT THE NODE SOFTWARE, THE GNODI BLOCKCHAIN, OR ANY SMART CONTRACT WILL OPERATE WITHOUT ERROR OR INTERRUPTION.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER THE FOUNDATION NOR BLOCK REIGN, NOR THEIR DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS, WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REWARDS, LOST DATA, OR HOSTING COSTS, ARISING FROM THESE NODE TERMS OR YOUR LICENSE. THEIR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO A LICENSE WILL NOT EXCEED THE AMOUNT YOU PAID FOR THAT LICENSE.

15. Disputes and Governing Law

[Counsel review: governing law and forum; the Terms of Use currently specify Delaware.] These Node Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law rules. Before starting any formal proceeding, you agree to contact info@musiqnetwork.info and try in good faith to resolve the dispute informally for at least sixty (60) days. Any dispute not resolved informally will be settled by binding individual arbitration, and you waive any right to a jury trial or to take part in a class action, to the extent permitted by law.

16. Incorporated Documents

The following documents form part of these Node Terms, and you confirm at checkout that you have read them:

• The Purchaser Acknowledgments, which you affirm individually at checkout;

• The MusIQ Network Risk Disclosures;

• The MusIQ Network Terms of Use and Privacy Policy;

• The MusIQ Forward Foundation charter, as ratified by License holders and amended from time to time.

If these Node Terms conflict with the Terms of Use, these Node Terms control for matters relating to your License.

17. Changes

We may update these Node Terms to reflect changes to the Node Software, the protocol, governance decisions, or the law. Material changes will be posted with a new version label and, where practical, notified by email. Changes do not reduce the refund rights that applied when you bought your License.
